娱美德要求盛大游戏赔偿1亿美金（7亿人民币）

娱美德娱乐有限公司(代表：张贤国)于本月18日(星期四)针对Shanda Games Limited(“盛大游戏”)和其关联公司蓝沙信息技术(上海)有限公司(“蓝沙”)向新加坡国际商会仲裁院(ICC)提起仲裁。

Wemade Entertainment Co., Ltd. (Wemade) submitted the arbitration request against Shanda Games Limited (Shanda Games) and its affiliate Lansha Information Technology (Shanghai) Co., Ltd (Lansha) in Singapore International Chambers of Commerce (ICC) on May 18, 2017.

根据2001年6月29日签署的《软件许可协议》及其补充协议，盛大游戏只拥有《热血传奇》PC客户端游戏在中国大陆地区的运营权。但是盛大游戏却擅自向多个私服、PC客户端游戏、网页游戏、手机游戏进行授权。

Under Software License Agreement (SLA) executed on June 29, 2001 and its amendment agreements, Shanda Games, as the licensee, has the right to only publish the “Ruxue Chuanqi” PC client game in China. However, Shanda Games has illegally allowed the sub-licensees to develop illegal private servers, PC client games, web games and mobile games.

该行为并没有通过《热血传奇》著作权人娱美德和亚拓士同意，是非法进行的转授权行为，盛大游戏也没有就相关非法授权游戏所得许可费向娱美德支付过一分钱。这明显违反《软件许可协议》和中国著作权法律法规相关规定，娱美德为了阻止盛大游戏的这种违法行为，已经提起仲裁、要求盛大游戏赔偿损失1亿美金(约合7亿人民币)。

Such Shanda Games’ activities are illegitimate that Wemade and Actoz, co-licensors of “Ruxue Chuanqi”, had never agreed or granted any authority to Shanda Games to do so. Furthermore, Shanda Games has never paid any royalty from illegally developed games. Such Shanda Games’ action are breaches of SLA and violation of Chinese copyright law. In order to prevent such illegal activities by Shanda Games, Wemade submitted the arbitration request against Shanda Games with damages for $100 million (about RMB 700 million).

娱美德表示：“盛大游戏提供的转授权无一例外均属非法。为了准确了解盛大游戏通过非法转授权牟利的规模，需要对盛大游戏进行审计，但是娱美德依据《软件许可协议》有关条款提出的审计要求，却遭到盛大游戏无理拒绝。娱美德要求赔偿的1亿美金(约合7亿人民币)只是暂定数字，推测截至目前为止的损失累计金额大约为3亿美金(约合21亿人民币)。不管需要多长时间，娱美德会尽一切努力获取准确的损失金额。“

One of officers at Wemade said that “Shanda Games’ sub-licenses are all illegal without exception. In order to calculate the accurate estimates of Shanda Games’ profits from illegal sub-license, audit shall be taken place according to the related articles and clauses under SLA. However, Shanda Games keeps refusing to cooperate for audit.” The officer continued to speak in a firm manner that “The damage amount claimed in arbitration request, $100 million (about RMB 700 million), is only preliminary estimate, and we are actually estimating the accumulated loss as $ 300 million (about RMB 2.1 billion). Regardless of time consuming, we are plan to receive all the losses from Shanda Games.”

最近，娱美德了解到，盛大游戏的违法行为已在中国整个游戏业界蔓延。

Recently, Wemade found out that such Shanda Games’ illegal activities are rampant in Chinese game business.

首先，盛大游戏恶意利用打击私服的授权，推动私服发展并从其中获取非法分成，上述行为在中国游戏界早已不是新闻。

For Chinese game business, it is not a surprise that Shanda Games receives the authority from the licensor to crack down the illegal private servers, and once it receives such authority, it uses that authority to rather expand illegal private servers and receives royalties from them.

另外，有很多非法授权游戏，例如《传奇霸业》，都在主张“盛大游戏正版授权”。娱美德严正声明：盛大游戏没有任何对《热血传奇》对外进行转授权的权利，所有所谓“盛大游戏正版授权”的《热血传奇》相关网页游戏都是侵权游戏。同样的，《传奇天下》等“盛大游戏正版授权”的手机游戏也是盛大游戏非法转授权的侵权游戏。盛大游戏的所谓“授权”没有获得著作权人娱美德和/或亚拓士的任何同意，均是在著作权人不知情的情况下非法进行的。

Moreover, numerous illegal web games, including “Chuanqi Baye”, which developers claim to have original authority from Shanda Games, are all generated from Shanda Games’ illegal sub-license. Wemade declares that Shanda Games does not have any right to sub-license “Ruxue Chuanqi” to any third party. Mobile Games such as “Chuanqi Tianxia” are also games receiving illegal sub-license from Shanda Games. Shanda Games’ such illegal sub-licensing is proceeded without Wemade and/or Actoz’s consent or notice.

娱美德对这种非法授权的网页游戏和手机游戏也在同时进行诉讼和其他形式的打击。主张从盛大游戏获得《热血传奇》授权的手机游戏《传奇天下》，《决战无双》，《热血无双》，《无双霸业》，《王者传奇》，《至尊传奇》，《热血烧猪》等及主张获得《传奇世界》授权的《传奇战域3D》，《传奇战域》，《传世挂机》等都已经被平台下架。
